Standard Terms and Conditions
The following terms and conditions apply to all transactions with School Source International Holdings Ltd and all of its subsidiaries and affiliates (“School Source”).
Please contact our Customer Service team (“Team”) if you have questions about any provisions outlined below.
1. Availability of Products
All products offered in School Source’s catalogs or other media are subject to availability of the products at the time of order.
2. Title to Products
Ownership of all products only passes to the customer on full payment of the appropriate invoice.
3. Prices
Our prices are quoted in Chinese RMB based on the official exchange rate on the day when the catalog was published. School Source will make every attempt to honor RMB prices for the life of the catalog but reserves the right to invoice for other currencies at current exchange rates.. Prices do not include shipping, packaging or handling charges, insurance or any charges and taxes associated with import and export.
4. Deposit and Payment
Schools operating outside Mainland China will be invoiced in USD or Hong Kong Dollars and schools operating inside Mainland China will be invoiced in RMB.
Unless special credit terms are agreed, full payment must be received before goods are dispatched.
Where credit is given, payment for goods supplied is due within 15 days of the invoice date. In the case of overdue invoices, School Source reserves the right to charge an interest at the rate of 2% of the delayed amount per month.
5. Shipping, Packing and Handling
The cost of shipping will be billed as an additional line item in the invoice based on a final determination of shipment weight, volume and method of transport. A rough estimate will be provided at the time of order confirmation as a percentage of the cost of the order using the best available information.
6. Order Fulfillment and Delivery
The products may be delivered at one time or on several occasions. School Source may provide the customer with the estimated delivery date before confirmation of their order. However, the estimated delivery date shall have a six-week grace period. If the customer does not receive an expected delivery, they shall notify School Source within 10 days after the expiry of the grace period. If a product from School Source’s own catalogs is out of stock or back ordered to the extent that it will cause significant delays in delivery, School Source will advise the customer of the situation. The customer may have the in-stock portion of the order delivered, and wait for the out-of-stock delivery at a later time; or wait and have it all shipped together. In addition, the customer has the option to replace it with another product, wait until the product comes into stock or, cancel that part of the order and receive full credit within 7 days after receiving the notice from School Source.
7. Inspection and return
The customer shall check the product received at the time of delivery in accordance with the ‘School Source Delivery Recommendations’ and report any problems with the shipper or carrier of the product and the Team within five days of receipt. No return of products can be made without prior authorization of School Source. Refused shipments may be charged freight in both directions.
8. Product Descriptions
School Source makes every effort to ensure that each product description, photograph and listed price in our catalogs is accurate. School Source will issue a full credit for the product if: (i) the product does not match the product pictured or described in our catalog and is returned within 10 days in its original condition ; (ii) the original product has been substantially substituted before its dispatch and the substituted product is unacceptable to the customer.
9. Labeling on Products
School Source makes efforts to ensure that all usage labels of the products are in English, or that there is an English version attached.
10. Wrongly Ordered Products
If products are genuinely ordered in error, School Source will work out a resolution with the customer. If a return of products is agreed, School Source may levy a charge for repacking and shipping.
11. No Warranty Unless Specified
Unless expressly stated in products or their packing materials, products ordered from School Source are offered on an “as-is” basis and are not guaranteed against damage due to wear and tear. However, if you find that a product is defective in any material respect, please notify our Team immediately to discuss a resolution. For products that do come with a warranty of manufacturer, please refer to the warranty information provided with that product. For products supplied through our Partner Network, School Source will make every effort to resolve warranty claims with the original supplier.
12. Cancellations
Order cancellations in whole or in part can only be made prior to confirmation of the order by School Source. Cancellations made after that time will be subject to forfeiture of the deposit, except for cancellation based on the provisions of Article 6.
13. Event of Default
The occurrence of any of the following shall constitute an “Event of Default”: (i) the customer fails to perform any other provision of this Terms and Conditions or breaches any provision of this Terms and Conditions; (ii) the customer is not able to pay the payment fully; or (iii)in the event of insolvency of the customer. School Source may, at its sole option, terminate the order, resell the products or cancel the shipment or the products in delivery. The customer shall indemnify School Source all the direct or indirect damage and losses arising out of the Event of Default.
14. Force Majeure
School Source shall not be responsible for delays in delivery or performance because of intervention of a Force Majeure, which shall include: strikes, lockouts, riots, war, government regulations, fire, explosion, Acts of God, acts of the overseas supplier, delays in transportation, or inability due to causes beyond School Source’s reasonable control. In the event of any such delay, the delivery date shall be extended for a period equal to the time lost by reason of the delay.
15. Applicable Law
Terms and Conditions shall be governed by the laws and regulations of the People’s Republic of China; provided that if the customer is not a PRC resident or a PRC company, these Terms and Conditions shall be governed by the laws and regulations of the Hong Kong Special Administrative Area.
16. Settlement of Dispute
If any dispute arises out of the interpretation or performance of this Agreement, School Source and the customer shall first settle such dispute through friendly negotiations. If such dispute fails to be settled through negotiations, such dispute shall be submitted, either by School Source or by the customer, to the China International Economic and Trade Arbitration Commission for arbitration in Beijing according to its then applicable arbitration rules; provided that if the applicable law is the law of Hong Kong, such dispute shall be submitted to Hong Kong International Arbitration Center for arbitration in Hong Kong. The arbitration award shall be final and binding upon both School Source and the customer.
